By accessing or using Shuli's services (“Service”), operated by Arachnid Solutions LLC, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Shuli provides an AI-powered meeting notes service that automatically joins your video calls, generates meeting summaries, and integrates with your business tools including calendars, CRM systems, email, file storage, and note-taking platforms. We reserve the right to modify or discontinue the Service at any time.

3. User Accounts

You must create an account to use our Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Record meetings or upload audio without proper consent from all participants
Violate any applicable laws or regulations
Interfere with or disrupt the Service
Attempt to gain unauthorized access to our systems
Use the Service to transmit malware or harmful code
Resell or redistribute the Service without authorization

5. Meeting Recording & Audio Upload Consent

You are solely responsible for obtaining all necessary consents before using Shuli to join and record meetings or before uploading audio recordings of conversations. This may include notifying participants that the meeting is being recorded and obtaining their consent where required by law. When uploading audio files, you represent that you have the right to do so and that all participants have consented. Shuli is not responsible for any legal consequences arising from improper consent.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google (Calendar, Gmail, Drive), Microsoft (Outlook, OneDrive, OneNote), Salesforce, Dropbox, and Wealthbox. By connecting these integrations, you acknowledge and agree that:

You authorize Shuli to access and use data from these services as described in our Privacy Policy, solely to provide the Service
Your use of each third-party service is also governed by that service's own terms of service and privacy policy, including but not limited to:
You can disconnect any integration at any time from your account settings, which will revoke Shuli's access to that service
Shuli is not responsible for the availability, accuracy, or security of third-party services
You are responsible for ensuring you have the necessary permissions and licenses to connect your third-party accounts to Shuli

7. Data Ownership & AI-Generated Content

Your meeting data, including recordings, uploaded audio files, transcripts, and original content discussed in meetings, remains your property. AI-generated meeting summaries, action items, and follow-up drafts produced by Shuli are derivative works created for your use. You retain full rights to use, modify, and distribute these outputs.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Arachnid Solutions LLC and are protected by international copyright, trademark, and other intellectual property laws.

9. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change our prices with 30 days' notice. You authorize us to charge your payment method for all fees due.

10. Termination

You may terminate your account at any time from your account settings. Upon termination, we will delete your data according to our retention policies unless you request immediate deletion. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES; YOU ARE RESPONSIBLE FOR REVIEWING ALL OUTPUTS BEFORE USE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARACHNID SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM THIRD-PARTY INTEGRATION FAILURES OR AI-GENERATED CONTENT INACCURACIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold Arachnid Solutions LLC harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your violation of any rights of a third party, or your failure to obtain proper consent for meeting recording or audio upload.

14. Governing Law

These Terms shall be governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page, updating the “Last updated” date, and sending an email notification for significant changes. Your continued use of the Service constitutes acceptance of the modified Terms.
