By accessing or using Shuli's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Shuli provides an AI-powered meeting notes service that automatically joins your video calls, generates meeting summaries, and integrates with your business tools. We reserve the right to modify or discontinue the Service at any time.

3. User Accounts

You must create an account to use our Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Record meetings without proper consent from all participants
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to our systems
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without authorization

5. Meeting Recording Consent

You are solely responsible for obtaining all necessary consents before using Shuli to join and record meetings. This may include notifying participants that the meeting is being recorded and obtaining their consent where required by law. Shuli is not responsible for any legal consequences arising from improper consent.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Shuli and are protected by international copyright, trademark, and other intellectual property laws. Your meeting data remains your property.

7. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change our prices with 30 days' notice. You authorize us to charge your payment method for all fees due.

8. Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel. You may cancel at any time during the trial period.

9. Termination

You may terminate your account at any time. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHULI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Shuli harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service constitutes acceptance of the modified Terms.
